Terms of Service

4.1 Signing Up

When you join the Hold My Spot waitlist you agree to provide an accurate, current email address. There is no password, account credential, or Emergency PIN associated with a waitlist signup today, because Hold-It does not currently operate a password-protected account system.

4.2 One Signup Per Person

We ask that you maintain only one active waitlist signup. Creating multiple signups to circumvent restrictions or to abuse a promotional offer, including the Founding Circle referral program, is prohibited.

4.3 Keeping Your Information Current

You agree to keep the email address and any other information you provide current. Providing false or misleading information is grounds for removal from the waitlist or termination of any associated benefit.

4.4 Unsubscribing

You may unsubscribe from Hold-It communications at any time using the unsubscribe link included in any email, or by contacting us directly. Unsubscribing does not affect any Founding Circle status or qualifying referral history already recorded, as described in Section 11.

4.5 Removal from the Waitlist

Hold-It reserves the right to remove a signup from the waitlist at any time for violation of these Terms, suspected fraudulent activity, or any reason deemed necessary to protect the integrity of the platform and its community.

5.1 Illegal Activity

Using the Service for any unlawful purpose or in violation of any applicable federal, state, or local laws or regulations including but not limited to money laundering, fraud, or financing of illegal activities.

5.2 False Information

Providing false, inaccurate, or misleading information during registration, identity verification, or any interaction with the Service.

5.3 Unauthorized Access

Attempting to gain unauthorized access to any portion of the Service, other users' waitlist signups, or any systems or networks connected to the Service.

5.4 Interference

Interfering with or disrupting the integrity or performance of the Service or the data contained therein.

5.5 Reverse Engineering

Attempting to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any component thereof.

5.6 Automated Access

Using automated scripts, bots, scrapers, or other automated means to access or interact with the Service without express written permission from Hold-It Financial Inc.

5.7 Harmful Content

Uploading, transmitting, or distributing any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

5.8 Impersonation

Impersonating any person or entity or falsely representing your affiliation with any person or entity.

5.9 Multiple Waitlist Signups

Creating multiple waitlist signups to circumvent restrictions or terminations, or to abuse any promotional offer including but not limited to the Founding Circle referral rewards.

6.1 Hold-It Ownership

The Service and Hold-It intellectual property — including the Hold-It™ brand, software, text, graphics, logos, user interface, and intellectual property associated with in-development concepts such as Cold Card™, Ghost Shield™, and vault architecture — are owned by Hold-It Financial Inc and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

6.2 Limited License

Hold-It grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial use of the Service. This license does not include the right to:

• Reproduce or distribute any portion of the Service
• Modify or create derivative works based on the Service
• Use the Service for any commercial purpose without express written permission from Hold-It Financial Inc
• Remove any copyright, trademark, or other proprietary notices from any portion of the Service

6.3 User Content

By submitting any content to the Service including optional goal descriptions or preferences, community or waitlist submissions, support communications, or feedback you voluntarily provide, you grant Hold-It Financial Inc a worldwide, royalty-free, non-exclusive license to use, reproduce, and display that content solely for the purpose of operating and improving the Service.

6.4 Trademark

Hold-It™ is a trademark of Hold-It Financial Inc. You may not use the Hold-It™ name, logo, or brand in any manner without prior written permission from Hold-It Financial Inc. All other trademarks referenced in the Service are the property of their respective owners.

6.5 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service become the sole property of Hold-It Financial Inc. You assign all rights to such feedback to Hold-It Financial Inc without compensation.

7.1 As-Is Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. HOLD-IT FINANCIAL INC EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.2 No Bank Guarantee

HOLD-IT FINANCIAL INC IS NOT A BANK AND IS NOT FDIC INSURED. HOLD-IT DOES NOT CURRENTLY HOLD, TRANSFER, FREEZE, RESTRICT, OR CONTROL USER FUNDS. FUTURE REGULATED BANKING RELATIONSHIPS, IF AND WHEN THEY EXIST, WILL BE DESCRIBED IN UPDATED TERMS AT THAT TIME.

7.3 No Financial Advice

NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE. HOLD-IT FINANCIAL INC IS NOT RESPONSIBLE FOR ANY FINANCIAL DECISIONS MADE BY USERS BASED ON INFORMATION AVAILABLE THROUGH THE SERVICE.

7.4 Service Availability

HOLD-IT FINANCIAL INC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW HOLD-IT FINANCIAL INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

8.2 Maximum Liability

IN NO EVENT SHALL HOLD-IT FINANCIAL INC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HOLD-IT FINANCIAL INC IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

8.3 Essential Basis

THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE EVEN IF HOLD-IT FINANCIAL INC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.4 Exceptions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS HOLD-IT FINANCIAL INC'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

8.5 No Current Fund Handling

HOLD-IT DOES NOT CURRENTLY HOLD, TRANSFER, OR ROUTE USER FUNDS, SO THIS SECTION DOES NOT LIMIT LIABILITY FOR CONDUCT THAT DOES NOT YET OCCUR. IF AND WHEN HOLD-IT BEGINS HANDLING USER FUNDS AS PART OF A FUTURE REGULATED PRODUCT, THESE TERMS WILL BE UPDATED TO ADDRESS THAT ACTIVITY SPECIFICALLY.

9.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.

9.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in the State of Delaware. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

9.3 Compliance With Local Laws

You are responsible for compliance with all applicable local laws in your jurisdiction. Hold-It Financial Inc makes no representation that the Service is appropriate or available for use in all locations. Access to the Service from territories where its content is illegal is prohibited.

10.1 Right to Modify

Hold-It Financial Inc reserves the right to modify these Terms at any time at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of these Terms and by sending an email notification to the address you provided when joining the waitlist.

10.2 Continued Use

Your continued use of the Service after any modification to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms you must discontinue use of the Service immediately.

10.3 Review Responsibility

It is your responsibility to review these Terms periodically for changes. Hold-It Financial Inc encourages you to review these Terms each time you use the Service to ensure you understand the current Terms that apply to your use.

10.4 Material Changes

For material changes that significantly affect your rights or obligations Hold-It Financial Inc will provide at least 30 days advance notice before the changes take effect. Non-material changes such as clarifications or corrections take effect immediately upon posting.

11.1 The Referral Ladder

The Founding Circle was created to recognize the earliest people who helped grow Hold-It before the full product was available. The original referral opportunity remains open under its original rules and cap:

• 1 referral — the Blueprint, a first look at how Hold-It is built
• 3 referrals — Beta Access, hands-on before anyone else
• 10 referrals — a personal call with the founder to share your ideas directly
• 20 referrals — free access to the future Nomad tier, at no monthly cost, once that tier exists
• 25 referrals — the future metal Cold Card, Hold-It's most exclusive card concept, yours permanently once it exists

If you qualify under these original terms, your Founding Circle status and qualifying referral history will be preserved as Hold-It moves through its current Evidence-first development path. The associated future rewards are not active during the Hold-It Evidence Program because they relate to features of the future regulated Hold-It product.

11.2 First-500 Founding Member Benefit

The first 500 qualifying Hold-It founding members will be eligible to receive the Voyager-level Ghost Shield benefit at no charge when Ghost Shield becomes available as part of the future regulated product, subject to final program terms, eligibility requirements, and required approvals. Membership is verified at Hold-It Financial Inc's sole discretion.

11.3 Approval-Dependent

Activation and exact fulfillment of any Founding Circle reward described in this section will depend on the applicable future product being built and receiving the required financial-partner, legal, compliance, risk, technical, and operational approvals. The reward does not currently guarantee a specific launch date, cash value, transferability, coverage amount, duration, or other feature unless that term was explicitly part of the original qualifying campaign and remains valid under the final approved program.

11.4 Acquisition or Merger

In the event of an acquisition or merger Hold-It Financial Inc will use commercially reasonable efforts to honor this commitment but cannot guarantee continuation of this program under new ownership.

11.5 Termination of Benefits

Hold-It Financial Inc reserves the right to modify or discontinue any Founding Circle benefit for signups found to be in violation of these Terms of Service or engaged in fraudulent activity, including but not limited to creating multiple signups to claim multiple Founding Circle benefits.
